REAL ESTATE TRANSACTION COORDINATOR AGREEMENT
("Agreement")
Effective as of __________ (MM/DD/YYYY)
This Agreement is made by and between __________________________________________ ("Agent"), and Amplified Contracts ("Transaction Coordinator" or "TC").
1) TERMS OF AGREEMENT
a) This Agreement may be accepted by written signature or by electronic acknowledgment through an Amplified Contracts intake form, transaction submission form, service request, or similar electronic process.
b) Submission of a transaction, intake form, or request for services constitutes the Agent's acknowledgment that they have read, understood, and agreed to be bound by the terms of this Agreement and any applicable Service Appendix. The date and time of such electronic submission shall serve as the Effective Date of this Agreement.
c) This Agreement shall remain in effect until terminated in writing by either party. Termination may occur at any time, provided no work has begun on a transaction. Any transaction in progress at the time of termination will be completed and remain subject to the terms of this Agreement, including all applicable fees and payment obligations.
2) DUTIES AND RESPONSIBILITIES
a) The Transaction Coordinator agrees to:
i) Exercise reasonable efforts and due diligence on all Services offered.
ii) Enter new fully submitted* Transactions within 2-4 business hours of receipt. Submissions after 3:30 PM may not be processed until the following business day.
iii) Copy the Agent on all communication related to the transaction and request the Agent to do the same, especially when sharing information that could affect the transaction's direction or status.
iv) Maintain confidentiality regarding all client and transaction-related information.
v) Provide coordination services as requested, based on the selected service level per transaction. See Service Detail Appendix ("Appendix").
b) The Real Estate Agent agrees to:
i) Check e-mail daily.
ii) Provide the TC with complete and accurate contact information and documents relevant to the transaction, via e-mail, broker compliance software, or the intake forms, in a timely manner.
iii) Ensure that the TC has access to the necessary documents and systems to perform their duties.
iv) Maintain direct communication with clients to manage expectations and ensure cooperation with TC.
v) Oversee the transaction. Review and approve documents prepared by the TC before they are sent to clients or other parties. Review and approve ALTA, CDA, and Title Commitment.
vi) Remain responsible for all legal and fiduciary duties required by their license and brokerage. Agent is responsible for addressing any issues that arise during the transaction that require agent intervention (e.g., negotiations, changes in terms).
3) WORKING HOURS AND AVAILABILITY
a) The TC's standard working hours are Monday through Friday, from 9:00 AM to 5:00 PM, excluding federal holidays. While availability outside of these hours is not guaranteed, the TC understands that urgent matters may occasionally arise and will make an effort to assist when possible. In cases where after-hours support is requested and provided, additional fees may apply based on the nature and timing of the request. Any such fees will be communicated and agreed upon in advance whenever possible. It is important that communication should be clear and timely within regular business hours.
4) COMPENSATION
a) The Real Estate Agent agrees to compensate the Transaction Coordinator in accordance with the selected service package (see Appendix for services). All package pricing reflects starting rates. Because Amplified Contracts customizes its services to each Agent, final pricing may vary. The exact fee will be agreed upon in writing prior to the commencement of services and will remain in effect unless and until a revised amount is agreed to in writing by both parties.
i) Listing Lite:
(1) Starting at $100 per transaction without an HOA, condo, or association.
(2) Starting at $150 per transaction with an HOA, condo, or association.
ii) Contract to Close:
(1) Starting at $500 per transaction, single sided.
(a) If the other side is not represented, the transaction will be treated as dual representation.
(2) Starting at $700 per transaction, for dual representation.
(3) No fee is due for transactions that fail to close, unless otherwise agreed in writing.
iii) Compliance Only:
(1) Starting at $150 per transaction.
iv) Payment Terms:
(1) Payment for Listing Lite and Compliance Only services are due upon initiation of service, payable directly by the Agent.
(2) Payment for Contract to Close service is due at closing and will be processed through the Title Company. If not permitted by the brokerage, payment must be made directly by the agent.
5) PERKS, PROMOTIONS, AND GIVEAWAYS
a) Amplified Contracts may, from time to time, offer promotional discounts, complimentary services, event giveaways, referral incentives, scratch-off prizes, or other promotional benefits (collectively, "Perks"). Unless otherwise stated in writing in connection with a specific Perk, the following terms apply:
i) Perks have no cash value and may not be sold, transferred, exchanged, or redeemed for cash or account credit.
ii) Limit one Perk per person and one Perk per transaction. Perks may not be combined with any other promotional, discount, complimentary service, or special offer unless expressly authorized in writing by Amplified Contracts.
iii) Perks must be redeemed on or before the expiration date stated on the applicable promotional material. Expired Perks will not be honored.
iv) If a Perk includes a redemption code, the code must be provided at the time of redemption and may be used only once. Amplified Contracts reserves the right to verify the validity of any Perk or redemption code and to reject any code or promotional material that has been duplicated, altered, previously redeemed, or otherwise determined to be invalid.
v) Perks offered exclusively to licensed real estate professionals may be redeemed only by an eligible licensed real estate professional.
vi) A Perk applies only to the service, discount, or benefit identified on the applicable promotional material. Any additional services, upgrades, add-ons, or fees are not included unless expressly stated.
vii) Complimentary and discounted services remain subject to this Agreement, Amplified Contracts' service availability, and the ordinary requirements, scope, and limitations applicable to the service being redeemed. Receipt of a Perk does not guarantee acceptance of a transaction or availability of services.
viii) Amplified Contracts reserves the right to modify, suspend, or discontinue a promotion or giveaway at any time. Valid Perks already issues will remain subject to the terms stated at the time of issuance, except where modification is reasonably necessary to address fraud, error, illegality, or circumstances beyond Amplified Contracts' control.
6) INDEPENDENT CONTRACTOR STATUS
a) The TC is an independent contractor and not an employee of the Agent. The TC is responsible for all applicable taxes, insurance, and business-related expenses.
b) The TC, whether licensed or unlicensed, acts exclusively as an independent contractor and is not authorized to negotiate contract terms, provide legal or brokerage advice, or perform any activity requiring a real estate license unless explicitly stated.
7) DISPUTE RESOLUTION
a) The Agent agrees to indemnify, defend, and hold harmless the TC (and its affiliates, officers, directors, employees, and agents) from any claims, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:
i) The Agent's negligence, misrepresentations, or failure to comply with applicable laws and brokerage policies;
ii) Errors or omissions in information or documentation provided by the Agent;
iii) Any breach of this Agreement by the Agent.
b) The TC shall not be liable for errors or omissions of third parties, nor for circumstances beyond the TC's reasonable control. In the event of any dispute arising out of or relating to this Agreement, the parties agree to first attempt resolution through good-faith direct communication. If the dispute is not resolved, the parties shall participate in mediation prior to initiating any legal action. The cost of mediation shall be equally shared by the parties.
c) Notwithstanding the foregoing, the Transaction Coordinator may pursue immediate legal remedies for nonpayment of fees or invoices after providing written notice and a reasonable opportunity to cure, without first participating in mediation.
